VoisWork Software License and Service Agreement
Preamble
Welcome to use VoisWork software and services!
To use VoisWork software (hereinafter referred to as “this Software”) and its services, you must read and comply with the “VoisWork Software License and Service Agreement” (hereinafter referred to as “this Agreement”). Please read all terms carefully and fully understand the content of each clause, especially those regarding exemption or limitation of liability, as well as any separate agreements for activating or using specific services. You must choose whether to accept them or not. Exemption or limitation clauses may be highlighted in bold for your attention.
Unless you have read and accepted all terms of this Agreement, you are not authorized to download, install or use this Software and related services. Your acts of downloading, installing, using, obtaining a VoisWork account or logging in will be deemed as your acceptance of this Agreement.
If you are under 18 years old, please read this Agreement and other relevant agreements under the guidance of your legal guardian, with special attention to the terms regarding minors.
Please do not operate VoisWork products or services while driving. You must ensure safety when using VoisWork products or services to prevent traffic accidents or other hazardous situations.
1. Scope of the Agreement
1.1 Scope of Applicable Parties
This Agreement is between you and VoisWork regarding your download, installation, use and copying of this Software, as well as your use of VoisWork related services.
1.2 Agreement Relationships and Conflict Clauses
This Agreement also includes any additional agreements or business rules that VoisWork may issue regarding the services from time to time. Once officially published, such content shall become an integral part of this Agreement, and you shall comply with them accordingly.
2. About the Services
2.1 Content of the Services
The services refer to the cross-platform communication tool provided by VoisWork to users, which supports one-on-one and group participation. In addition to instant messaging services such as voice messages, videos, images and text, the services also provide users with functions including but not limited to social network expansion, convenient tools, open platform and other software licensing and services (hereinafter referred to as “the Services”).
2.2 Form of the Services
2.2.1 To use the Services, you need to download the VoisWork client software. For this software, VoisWork grants you a personal, non-transferable and non-exclusive license. The web version, Windows version and Mac version of VoisWork require QR code scanning for login. You may only use this software and services for the purpose of accessing or using the Services.
2.2.2 The VoisWork client software in the Services is available for multiple platforms including but not limited to iOS, Windows and Mac. Users must select the version compatible with their installed device.
2.3 Scope of the Service License
2.3.1 VoisWork grants you a personal, non-transferable and non-exclusive license to use this Software. You may install, use, display and run the Software on a single device for non-commercial purposes.
2.3.2 You may make one copy of the Software for backup purposes only. The backup copy must include all copyright information contained in the original software.
2.3.3 All rights not expressly granted in this clause or other terms of this Agreement remain reserved by VoisWork. You must obtain written permission from VoisWork to exercise these rights. VoisWork’s failure to enforce any right does not constitute a waiver of that right.
3. Obtaining the Software
3.1 You may obtain this Software directly from VoisWork’s website or from authorized third parties.
3.2 If you obtain this Software or an installation program under the same name from an unauthorized third party, VoisWork cannot guarantee the normal functionality of the software and will not be responsible for any losses incurred as a result.
4. Installation and Uninstallation of the Software
4.1 VoisWork may develop different versions of the software for different devices. You should select and download the appropriate version for installation based on your actual situation.
4.2 After downloading the installation program, you need to follow the steps prompted by the program to install it correctly.
4.3 To provide higher-quality and safer services, VoisWork may recommend installing other software during the installation of this Software. You may choose to install or not install it.
4.4 If you no longer need this Software or need to install a new version, you may uninstall it yourself. If you are willing to help VoisWork improve its products and services, please inform us of the reason for uninstallation.
5. Software Updates
5.1 To improve user experience and enhance service content, VoisWork will continuously develop new services and provide you with software updates from time to time (these updates may take the form of software replacement, modification, feature enhancement, version upgrades, etc.).
5.2 To ensure the security and functional consistency of this Software and services, VoisWork reserves the right to update the software or modify/restrict certain features without prior notice to you.
5.3 After a new version of this Software is released, older versions may become unusable. VoisWork does not guarantee the continued availability of older versions or corresponding customer support. Please always check and download the latest version.
6. Protection of User Personal Information
6.1 Protecting user personal information is a fundamental principle of VoisWork. VoisWork will take reasonable measures to protect users’ personal information. Except as required by laws and regulations, VoisWork will not disclose user personal information to third parties without user consent. VoisWork employs professional encryption for storage and transmission to ensure the security of user personal information.
6.2 During account registration or use of the services, you may need to provide certain necessary information, such as: mobile email number for account registration or user identification; agreement to use your geographic location information for the “People Nearby” feature; real identity information where required by laws or regulations. Incomplete information may restrict your ability to use the services.
6.3 Generally, you may review and modify your submitted information at any time. However, for security and identification purposes (e.g., account recovery), you may not be able to modify initial registration information or other verification details.
6.4 VoisWork will implement various security technologies and procedures to establish comprehensive management systems to protect your personal information from unauthorized access, use, or disclosure.
6.5 Without your consent, VoisWork will not disclose your personal information to any company, organization, or individual outside of VoisWork, except as required by laws and regulations.
6.6 VoisWork places great importance on protecting the personal information of minors. If you are under 18 years old, you should obtain written consent from your parent or legal guardian before using VoisWork’s services.
7. Main Rights and Obligations
7.1 Account Usage Rules
7.1.1 To use the services, you need to register a VoisWork account, which can be created using a mobile email number. VoisWork reserves the right to modify account registration and binding methods based on user needs or product requirements. Specific rules for account usage shall comply with relevant account agreements and VoisWork’s special rules.
7.1.2 Ownership of VoisWork accounts belongs to VoisWork. Upon completing registration, users obtain only the right to use the account, which is limited to the original registrant. The original registrant may not transfer, lend, lease, sell, or otherwise permit non-original registrants to use the account. Non-original registrants may not obtain account usage rights through gift, inheritance, lease, transfer, or any other means.
7.1.3 Users are responsible for keeping account information and passwords secure and bear legal responsibility for all activities conducted under their accounts. Users agree not to disclose account or password information to others under any circumstances. If you suspect unauthorized account use, you should immediately notify VoisWork.
7.1.4 VoisWork reserves the right to reclaim accounts that remain inactive for extended periods to prevent resource waste. Users shall bear any resulting losses.
7.2 User Considerations
7.2.1 You understand and agree: To provide effective services, this Software will utilize your device’s processor, bandwidth, and other resources. Data usage fees may apply during software use. Users should consult their carriers about relevant charges and bear such costs.
7.2.2 You understand and agree: Certain features may allow third parties to access user information, such as: VoisWork friends viewing public profile information (avatar, name, VoisWork ID, or social feed content); users who register with or link mobile numbers may be discoverable by contacts with that number; following official accounts grants them access to follower information (avatar, name, VoisWork ID, comments, images, videos) and enables interaction through the official platform. Comments and uploaded content may be published by official accounts for third-party viewing.
7.2.3 When using specific services, separate agreements or rules may apply. You must read and agree to these separate terms before using such services.
7.2.4 You understand and agree that VoisWork will make commercially reasonable efforts to secure your data stored through the software and services. However, VoisWork cannot provide complete guarantees, including but not limited to:
7.2.4.1 VoisWork is not responsible for data deletion or storage failures;
7.2.4.2 VoisWork may determine maximum data storage periods and allocate server storage space per user at its discretion. You should back up your data as needed;
7.2.4.3 If you stop using the services or if services are terminated, VoisWork may permanently delete your data from servers without obligation to return any data.
7.2.5 When using the software and services, you assume the following risks beyond VoisWork’s control:
7.2.5.1 Risks of personal information loss or leakage due to force majeure;
7.2.5.2 Problems or damages caused by using software versions incompatible with your device;
7.2.5.3 Risks from third-party websites accessed through the software;
7.2.5.4 Risks and responsibilities from having your content shared by others;;
7.2.5.5 Service issues caused by unstable wireless signals or limited bandwidth (login failures, incomplete data syncing, slow page loading, etc.).
7.3 Third-Party Products and Services
7.3.1 When using third-party products or services through the software, you must comply with both this Agreement and the third party’s terms. VoisWork and third parties bear their respective responsibilities for disputes within legal and agreed limits.
7.3.2 When services require accessing third-party systems (including official account services or open platform content), VoisWork does not guarantee the security, accuracy, or effectiveness of such third-party content. Any disputes or damages arising therefrom are not VoisWork’s responsibility.
7.3.3 You understand and agree that VoisWork may use the software for commercial purposes, including promoting third parties. VoisWork promises to protect your personal information during such promotions per this Agreement, and you may opt out through system settings.
User Conduct Guidelines
8.1 Content Standards
8.1.1 The term “content” refers to all materials created, copied, published, or disseminated by users while using the Software and services, including but not limited to VoisWork account profile pictures, names, descriptions, and other registration information; text, voice messages, images, social feed posts, related links, and any other content generated through VoisWork accounts or services.
8.1.2 You understand and agree that VoisWork is committed to providing a civilized, healthy, and well-regulated online environment. You must not use VoisWork accounts or services to create, copy, publish, or disseminate content that disrupts normal operations or infringes upon the legitimate rights of other users or third parties, including:
8.1.2.1 Content violating national laws and regulations:
(1) Content undermining constitutional principles;
(2) Content endangering national security, leaking state secrets, subverting state power, or undermining national unity;
(3) Content harming national honor and interests;
(4) Content inciting ethnic hatred, discrimination, or undermining national unity;
(5) Content violating religious policies or promoting cults and superstitions;
(6) Rumors disrupting social order and stability;
(7) Obscene, pornographic, gambling-related, violent, terroristic, or criminal content;
(8) Content defaming others or infringing upon their rights;
(9) Content inciting illegal assemblies, protests, or social disorder;
(10) Activities in the name of unauthorized organizations;
(11) Content violating the “Seven Bottom Lines” requirements regarding laws, socialist system, national interests, civil rights, public order, social morals, and information authenticity under the Interim Provisions on the Development and Management of Instant Messaging Tool Public Information Services;
(12) Other content prohibited by laws and regulations.
8.1.2.2 Content infringing upon reputation, portrait rights, intellectual property, trade secrets, or other legitimate rights;
8.1.2.3 Content involving others’ privacy or personal information;
8.1.2.4 Harassment, advertising, excessive marketing, spam, or sexually suggestive content;
8.1.2.5 Other content violating laws, regulations, public order, social morals, disrupting VoisWork operations, or infringing upon others’ rights.
8.2 Software Usage Rules
8.2.1 Unless permitted by law or authorized by VoisWork in writing, you must not:
8.2.1.1 Remove copyright information from the Software or its copies;
8.2.1.2 Reverse engineer, decompile, or disassemble the Software to obtain source code;
8.2.1.3 Use, lease, lend, copy, modify, link, republish, compile, mirror, or otherwise exploit VoisWork’s intellectual property;
8.2.1.4 Copy, modify, add to, delete from, or create derivative works from Software data, including runtime data, client-server interaction data, and system data, through plugins, add-ons, or unauthorized third-party tools;
8.2.1.5 Alter Software instructions or data to modify functionality or effects, or distribute tools for such purposes;
8.2.1.6 Access VoisWork services through unauthorized third-party software or distribute such tools;
8.2.1.7 Interfere with the Software, its components, modules, or data;
8.2.1.8 Other unauthorized actions.
8.2.2 You understand and agree that VoisWork may, based on user experience, operational security, platform rules, and healthy development, determine service recipients, feature availability, and data disclosure scope. VoisWork may suspend or terminate services for:
8.2.2.1 Violations of laws or this Agreement;
8.2.2.2 Negative impact on service experience;
8.2.2.3 Security risks;
8.2.2.4 Features substantially similar to VoisWork’s core functionalities;
8.2.2.5 Interfaces or experiences causing confusion with VoisWork services;
8.2.2.6 Actions violating VoisWork’s operational principles or management requirements.
8.3 Service Operation Rules
Unless permitted by law or authorized in writing, you must not:
8.3.1 Submit false information or impersonate others;
8.3.2 Induce others to click links or share content;
8.3.3 Mislead or deceive through misrepresentation;
8.3.4 Infringe upon others’ legitimate rights;
8.3.5 Conduct unauthorized promotions using VoisWork accounts or features;
8.3.6 Engage in illegal activities;
8.3.7 Develop or distribute tools for prohibited activities;
8.3.8 Other violations of laws, user rights, or VoisWork operations.
8.4 Accountability
You fully understand and agree that you are solely responsible for all actions under your account, including published content and resulting consequences. You must evaluate service content independently and assume all risks from its use, including reliance on accuracy or completeness. VoisWork cannot be held liable for losses from such risks.
8.5 Violation Handling
8.5.1 Upon discovering or receiving reports of violations, VoisWork may remove content, restrict features, suspend accounts, or impose other penalties without notice, and publish outcomes.
8.5.2 You agree that VoisWork may penalize violations per reasonable judgment, take legal action, and report to authorities as required by law. You bear all resulting legal liabilities.
8.5.3 You agree to indemnify VoisWork for all third-party claims, demands, or losses arising from your breach of this Agreement.
9. Intellectual Property Statement
9.1 VoisWork is the intellectual property rights holder of this Software. All intellectual property rights of this Software, including but not limited to copyrights, trademarks, patents, trade secrets, and all related content (including text, images, audio, video, charts, interface design, layout framework, data, and electronic documents) are protected by laws of the People’s Republic of China and relevant international treaties. VoisWork owns the aforementioned intellectual property rights, except those legally entitled to relevant rights holders.
9.2 Without written consent from VoisWork or relevant rights holders, you shall not implement, utilize, transfer, or authorize any third party to use the aforementioned intellectual property rights for any commercial or non-commercial purpose.
10. Device Security Responsibilities
10.1 You understand and agree that, like most internet software, this Software may be affected by various factors including user behavior, network quality, and social environment. It may also face security risks such as unauthorized use of personal data for harassment, or malware from other software/websites threatening device and data security, thereby affecting normal use. You should enhance information security awareness, protect passwords, and prevent losses.
10.2 You shall not develop, publish, use, or distribute malicious programs designed to steal VoisWork accounts or others’ personal information/property.
10.3 Maintaining software security is a shared responsibility. While VoisWork implements industry-standard technical measures to protect device/data security, you acknowledge that VoisWork cannot provide absolute guarantees.
10.4 Never trust online requests for loans, passwords, or property-related information. Always verify identities for financial operations and heed VoisWork’s anti-fraud warnings.
11. Miscellaneous
11.1 Using this Software constitutes acceptance of this Agreement. VoisWork may modify terms as needed, with updates available in the latest version. Continued use after modifications implies acceptance; otherwise, you must discontinue use.
11.2 This Agreement is executed in Futian District, Shenzhen, Guangdong, China.
11.3 The formation, validity, performance, interpretation, and dispute resolution of this Agreement shall be governed by Mainland China laws (excluding conflict-of-law principles).
11.4 Disputes shall first undergo friendly negotiation. If unresolved, you agree to submit to the competent court in Futian District, Shenzhen.
11.5 Section headings are for convenience only and do not affect interpretation.
11.6 If any provision is invalid or unenforceable, the remainder remains binding. (End of Text)
