VoisWork Software License and Service Agreement

Preamble

Welcome to the use of VoisWork and its services!

To use VoisWork (hereinafter referred to as “this Software”) and its services, you must read and comply with the “VoisWork License and Service Agreement” (hereinafter referred to as “this Agreement”). Please read all terms carefully, fully understand the content of each clause, especially the terms regarding exemption or limitation of liability, as well as any separate agreements for activating or using specific services, and choose to accept or not accept them. Exemption or limitation clauses may be highlighted in bold for your attention. Unless you have read and accepted all terms of this Agreement, you are not authorized to download, install, or use this Software or related services. Your actions of downloading, installing, using, obtaining a VoisWork account, or logging in will be deemed as your acceptance of this Agreement. If you are under 18 years old, please read this Agreement and other relevant agreements under the guidance of your legal guardian, with special attention to the terms regarding minors. Please do not operate VoisWork products or services while driving. Ensure your safety to prevent traffic accidents or other hazardous situations.

1. Scope of the Agreement

1.1 Scope of Applicable Parties

This Agreement is between you and VoisWork regarding your download, installation, use, and copying of this Software, as well as your use of related services provided by VoisWork.

1.2 Agreement Relationships and Conflict Clauses

This Agreement also includes any additional agreements or business rules that VoisWork may issue regarding the services. Once officially published, such content becomes an integral part of this Agreement, and you must comply with it.

2. About the Services

2.1 Content of the Services

The services provided by VoisWork include a cross-platform communication tool (hereinafter referred to as “VoisWork”) that supports one-on-one and group interactions. In addition to instant messaging services such as voice messages, videos, images, and text, the services also provide users with features including but not limited to social network expansion, utility tools, and open platform functionalities (hereinafter referred to as “the Services”).

2.2 Form of the Services

2.2.1 To use the Services, you need to download the VoisWork client software. For this software, VoisWork grants you a personal, non-transferable, and non-exclusive license. The web version, Windows version, and Mac version of VoisWork require QR code scanning for login. You may only use this software and services for the purpose of accessing or using the Services.

2.2.2 The VoisWork client software in the Services is available for multiple platforms, including but not limited to iOS, Windows, and Mac. Users must select the version compatible with their installed device.

2.3 Scope of the Service License

2.3.1 VoisWork grants you a personal, non-transferable, and non-exclusive license to use this Software. You may install, use, display, and run the Software on a single device for non-commercial purposes.。

2.3.2 You may make one copy of the Software for backup purposes only. The backup copy must include all copyright information contained in the original software.

2.3.3 All rights not expressly granted in this clause or other terms of this Agreement remain reserved by VoisWork. You must obtain written permission from VoisWork to exercise these rights. VoisWork’s failure to enforce any right does not constitute a waiver of that right.

3. Obtaining the Software

3.1 You may obtain this Software directly from VoisWork’s website or from authorized third parties.

3.2 If you obtain this Software or an installation program under the same name from an unauthorized third party, VoisWork cannot guarantee the normal functionality of the software and will not be responsible for any losses incurred as a result.

4. Installation and Uninstallation of the Software

4.1 VoisWork may develop different versions of the software for different devices. You should select and download the appropriate version for installation based on your actual situation.

4.2 After downloading the installation program, you need to follow the steps prompted by the program to install it correctly.

4.3 To provide higher-quality and safer services, VoisWork may recommend installing other software during the installation of this Software. You may choose to install or not install it.

4.4 If you no longer need this Software or need to install a new version, you may uninstall it yourself. If you are willing to help VoisWork improve its products and services, please inform us of the reason for uninstallation.

5. Updates to the Software

5.1 To improve user experience and enhance service content, VoisWork will continuously develop new services and provide you with software updates from time to time (these updates may include software replacement, modification, feature enhancements, version upgrades, etc.).

5.2 To ensure the security and functional consistency of this Software and its services, VoisWork reserves the right to update the software or modify/restrict certain features without prior notice.

5.3 After a new version of this Software is released, older versions may become unusable. VoisWork does not guarantee the continued availability of older versions or corresponding customer support. Please always check and download the latest version.

6. Protection of User Personal Information

6.1 Protecting user personal information is a fundamental principle of VoisWork. VoisWork will take reasonable measures to protect users’ personal information. Except as required by laws and regulations, VoisWork will not disclose user personal information to third parties without user consent. VoisWork employs professional encryption for storage and transmission to ensure the security of user personal information.

6.2 During account registration or use of the Services, you may need to provide certain necessary information, such as: A email number for account registration or user identification. Consent to use your geographical location information for the “Nearby” feature. Real identity information if required by national laws, regulations, or policies. If the information you provide is incomplete, you may not be able to use the Services or may face restrictions during use.

6.3 Generally, you may review or modify the information you submit at any time. However, for security and identification purposes (e.g., account recovery), you may not be able to modify the initial registration information or other verification details provided during registration.

6.4 VoisWork will use various security technologies and procedures to establish comprehensive management systems to protect your personal information from unauthorized access, use, or disclosure.

6.5 Without your consent, VoisWork will not disclose your personal information to any company, organization, or individual outside of VoisWork, except as required by laws and regulations.

6.6 VoisWork places great importance on the protection of minors’ personal information. If you are under 18 years old, you must obtain written consent from your parent or legal guardian before using VoisWork’s services.

7. Main Rights and Obligations

7.1 Account Usage Rules

7.1.1 To use the Services, you need to register a VoisWork account. A VoisWork account can be registered using a mobile Email number. VoisWork reserves the right to modify the account registration and binding methods based on user needs or product requirements. For specific rules regarding account usage, please comply with the relevant account usage agreement and any special rules issued by VoisWork.

7.1.2 Ownership of VoisWork accounts belongs to VoisWork. After completing the registration process, users only obtain the right to use the account, and this right belongs solely to the initial registrant. The initial registrant may not gift, lend, lease, transfer, or sell the account or otherwise permit non-initial registrants to use it. Non-initial registrants may not use the account through gifting, inheritance, leasing, transfer, or any other means.

7.1.3 Users are responsible for safeguarding their account information and password. Users are legally liable for all actions taken under their account and password. You agree not to disclose your account or password information to others under any circumstances. If you suspect unauthorized use of your account, you must notify VoisWork immediately.

7.1.4 If a registered VoisWork account remains inactive for an extended period, VoisWork reserves the right to reclaim the account to avoid resource wastage. Any resulting losses are the user’s responsibility.

7.2 User Considerations

7.2.1 You understand and agree that to provide effective services, this Software will utilize your device’s processor, bandwidth, and other resources. Data usage fees may apply during use. You are responsible for understanding the relevant charges from your carrier and bearing the costs.

7.2.2 You understand and agree that certain features of this Software may allow third parties to access your information, such as: VoisWork friends can view your public profile, including your avatar, name, VoisWork ID, or social feed content. Users who register or link their account with a mobile email number may be discoverable by contacts who have that number saved. Public accounts you follow may access your avatar, name, VoisWork ID, comments, images, or videos based on their permissions and interact with you via the VoisWork public platform. Content you share with public accounts may be published and viewed by third parties. 7.2.3 When using specific services within this Software, additional agreements or rules (collectively referred to as “Separate Agreements”) may apply. You must read and agree to these Separate Agreements before using such services.

7.2.4 You understand and agree that VoisWork will make commercially reasonable efforts to secure your data stored in this Software and its services. However, VoisWork cannot provide absolute guarantees, including but not limited to the following:

7.2.4.1 VoisWork is not responsible for data deletion or storage failures.

7.2.4.2 VoisWork reserves the right to determine the maximum storage period and space allocation for user data. You are responsible for backing up your data as needed.

7.2.4.3 If you stop using the Services or the Services are terminated, VoisWork may permanently delete your data. VoisWork is not obligated to return any data after service termination.

7.2.5 When using this Software and its services, you assume the following risks beyond VoisWork’s control, including but not limited to:

7.2.5.1 Loss or leakage of personal information due to force majeure.

7.2.5.2 Issues or damages caused by using a software version incompatible with your device.

7.2.5.3 Risks arising from accessing third-party websites via this Software.

7.2.5.4 Risks and liabilities from the sharing or forwarding of your content by others.

7.2.5.5 Login failures, incomplete data synchronization, or slow page loading due to unstable wireless signals or limited bandwidth.

7.3 Third-Party Products and Services

7.3.1 When using third-party products or services within this Software, you must comply with both this Agreement and the third party’s user agreement. VoisWork and the third party are each responsible for disputes within the scope of applicable laws and agreements.

7.3.2 When this Software integrates third-party systems or services (e.g., public accounts or open platform content), VoisWork does not guarantee the security, accuracy, or effectiveness of such services. Disputes or damages arising from third-party services are not VoisWork’s responsibility.

7.3.3 You understand and agree that VoisWork may use this Software for commercial purposes, such as promoting third-party services. VoisWork commits to protecting your personal information during promotions, and you may opt out of promotional messages via settings.

8. User Conduct Guidelines

8.1 Content Standards

8.1.1 “Content” refers to any material you create, share, or publish using this Software or its services, including but not limited to profile information (e.g., avatar, name), messages, posts, or links.

8.1.2 You agree not to use VoisWork to create, share, or publish content that:

8.1.2.1 Infringes on others’ rights (e.g., reputation,portrait, intellectual property, or trade secrets).

8.1.2.2 Involves others’ privacy or personal data.

8.1.2.3 Constitutes harassment, spam, excessive marketing, or sexual content.

8.1.2.4 Otherwise violates laws, policies, public order, or VoisWork’s operations.

8.2 Software Usage Rules

8.2.1 Unless permitted by law or VoisWork, you must not:

8.2.1.1 Remove copyright information.

8.2.1.2 Reverse-engineer, decompile, or extract source code.

8.2.1.3 Use, modify, or distribute VoisWork’s intellectual property without authorization.

8.2.1.4 Create derivative works or unauthorized plugins.

8.2.1.5 Tamper with software functions or data.

8.2.1.6 Use unauthorized third-party tools to access VoisWork.

8.2.1.7 Interfere with the Software’s operation.

8.2.1.8 Engage in other unauthorized activities.

8.2.2 VoisWork may suspend services for violations, security risks, or platform misuse.

8.2.2.1 Violation of laws, regulations, or the provisions of this Agreement;

8.2.2.2 Negative impact on service experience;

8.2.2.3 Existence of security risks;

8.2.2.4 Features or components that are similar or identical to VoisWork’s or its service platform’s core functionalities, or that achieve substantially the same purpose as such functionalities;

8.2.2.5 Interfaces, styles, features, descriptions, or user experiences that resemble VoisWork or its service platform, potentially causing users to mistakenly believe the functionality or service originates from or is authorized by VoisWork;

8.2.2.6 Actions that contravene VoisWork’s or its service platform’s operational principles or fail to meet other management requirements of VoisWork.

8.3 Service Operation Rules

You must not:

8.3.1 Post false information or impersonate others.

8.3.2 Mislead others into clicking links or sharing content.

8.3.3 Infringe on others’ rights.

8.3.4 Use accounts for unauthorized promotions.

8.3.5 Engage in illegal activities.

8.3.6 Develop or distribute tools for prohibited actions.

8.3.7 Otherwise violate laws or disrupt services.

8.3.8 Other actions that violate laws and regulations, infringe upon the legitimate rights of other users, disrupt normal product operations, or are not expressly authorized by VoisWork.

8.4 Accountability

You fully understand and agree that you are solely responsible for all actions conducted under your registered account, including any content you publish and any consequences arising therefrom. You shall independently evaluate the content within the Services and assume all risks associated with its use, including risks resulting from reliance on the accuracy, completeness, or usefulness of such content. VoisWork cannot and will not be liable for any losses or damages caused by the aforementioned risks.

8.5 Violation Handling

8.5.1 If VoisWork discovers or receives reports or complaints that a user has violated this Agreement, VoisWork reserves the right to delete or block the relevant content without prior notice and impose penalties on the violating account, including but not limited to warnings, partial or full functional restrictions, account suspension, or termination, depending on the severity of the violation. The handling results may be publicly announced.

8.5.2 You understand and agree that VoisWork has the right to impose penalties based on reasonable judgment for violations of applicable laws, regulations, or this Agreement. VoisWork may take appropriate legal action against any user engaging in illegal or non-compliant conduct and, in accordance with laws and regulations, retain relevant information and report it to the authorities. You shall bear all legal liabilities arising therefrom.

8.5.3 You understand and agree that if your violation of this Agreement or related service terms leads to any third-party claims, demands, or losses, you shall be solely responsible. If VoisWork suffers losses as a result, you shall also compensate VoisWork accordingly.

9. Intellectual Property Statement

9.1 VoisWork is the intellectual property rights holder of this Software. All intellectual property rights of this Software, including but not limited to copyrights, trademarks, patents, and trade secrets, as well as all information content related to this Software (including but not limited to text, images, audio, video, charts, interface design, layout framework, relevant data, or electronic documents), are protected by the laws and regulations of the People’s Republic of China and applicable international treaties. VoisWork owns the aforementioned intellectual property rights, except for rights legally entitled to relevant rights holders.

9.2 Without the written consent of VoisWork or the relevant rights holders, you shall not, for any commercial or non-commercial purpose, implement, utilize, or transfer the aforementioned intellectual property rights yourself or permit any third party to do so.

10. Device Security Responsibilities

10.1 You understand and agree that, like most internet software, this Software may be affected by various factors, including but not limited to user-related issues, network service quality, and social environment. It may also be subject to various security threats, including but not limited to the unauthorized use of user data for real-world harassment, or viruses, trojans, or other malicious programs in other software downloaded or websites visited by users, which may compromise the security of your device information and data and affect the normal use of this Software. Therefore, you should enhance your awareness of information security and personal data protection, and pay attention to password security to avoid losses.

10.2 You shall not develop, publish, use, or distribute malicious programs designed to steal VoisWork accounts or others’ personal information or property.

10.3 Maintaining software security and normal operation is the shared responsibility of VoisWork and you. VoisWork will take necessary technical measures in accordance with industry standards to reasonably and prudently protect your device information and data security. However, you acknowledge and agree that VoisWork cannot provide an absolute guarantee in this regard.

10.4 Under no circumstances should you readily trust online requests for loans, password sharing, or other property-related information. For any property-related operations, always verify the identity of the other party and pay attention to VoisWork’s anti-fraud reminders.

11. Miscellaneous

11.1 Your use of this Software constitutes your acceptance of and agreement to be bound by this Agreement. VoisWork reserves the right to modify the terms of this Agreement when necessary. You may review the updated terms in the latest version of the Software. If you continue to use the Software after any modifications to this Agreement, it will be deemed that you have accepted the revised Agreement. If you do not agree to the modified Agreement, you should discontinue using the Software.

11.2 This Agreement is executed in Futian District, Shenzhen, Guangdong Province, People’s Republic of China.

11.3 The formation, validity, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of Mainland China (excluding its conflict of laws provisions).

11.4 Any disputes or controversies between you and VoisWork shall first be resolved through friendly negotiation. If no resolution can be reached through negotiation, you agree to submit the dispute to the competent people’s court in the jurisdiction where this Agreement was executed.

11.5 The headings of all clauses in this Agreement are for convenience of reading only and shall not be used to interpret the meaning of this Agreement.

11.6 If any provision of this Agreement is held to be invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect and be binding upon both parties. (End of Text)
